END USER LICENSE AGREEMENT (EULA)

ProsperaSound LLC A limited liability company organized and existing under the laws of the State of

New Mexico, United States of America , and conducting business under the following brands and labels,

including but not limited to: Abstract State & BFractal Music.

IMPORTANT - PLEASE READ CAREFULLY This End User License Agreement ("Agreement") is a

legal agreement between you ("Licensee") and ProsperaSound LLC ("Licensor") governing the use of the

audio sounds, samples, loops, recordings, and related content ("Sounds") included in this product. By

downloading, installing, copying, or using the Sounds, you agree to be bound by the terms of this

Agreement.

1. License Grant

The Sounds are licensed, not sold. All rights not expressly granted are reserved by ProsperaSound

LLC. ProsperaSound LLC grants you a non-exclusive, non-transferable, single-user, perpetual, royalty-

free license to use the Sounds solely as part of musical compositions and audio-visual works.

2. Permitted Uses

You may use, synchronize, edit, process, and modify the Sounds freely in both commercial and

non-commercial productions. You may incorporate the Sounds into complete musical compositions

(including songs, beats, and production cues) and you may distribute, monetize, and publicly

perform those compositions worldwide.

You may release and monetize works containing the Sounds on any platform or music store, including

but not limited to: streaming services (e.g., Spotify, Apple Music, Tidal), digital download stores (e.g.,

Amazon Music, Beatport, iTunes, Bandcamp), and social platforms where you upload your finished

music (e.g., YouTube, TikTok, Instagram, Facebook).

- Permitted uses include, without limitation:

• Music Releases: Commercial or non-commercial distribution of your finished tracks, albums, beats and cues.

• Sync & Audio-Visual: Use in film, television, radio, advertising, trailers, online content, and social media videos.

• Games & Interactive Media: Use in video games, apps, VR/AR projects, and multimedia

presentations.

• Broadcast & Live: Public performances, DJ sets using your finished works, broadcasts and live

streams of your compositions.

• Editing & Processing: Time-stretching, pitching, chopping, layering, resampling, and other

creative processing.No royalties or additional fees beyond the initial purchase price are required

for any permitted use.

3. Restricted Uses

• No Resale or Redistribution: You may not use the Sounds in isolation, resell, sublicense, share,

distribute, or include them in any competing or similar products such as sample packs, sound

libraries, virtual instruments, presets, or construction kits. Uploading the Sounds to shared servers

or platforms accessible by third parties is prohibited.

• No Claims Against Other Licensees: You may not claim exclusive ownership over the Sounds

(in whole or in part), nor use them to issue copyright takedowns or claims against other legitimate

licensees.

• Demo Tracks: Any “Demo Tracks” (full musical previews) are for demonstration purposes and

remain the property of ProsperaSound LLC. You may not use, remix, or sample the Demo Tracks;

this license applies only to the individual Sounds.

4. Single-User License

This license is granted to one individual user only. The Sounds may not be shared within studios,

companies, or production teams unless each user holds a valid license.

5. Ownership

All Sounds remain the exclusive property of ProsperaSound LLC. No ownership rights are transferred to

the Licensee.

6. Artificial Intelligence & Machine Learning

The Sounds may not be used, directly or indirectly, for training, developing, or improving artificial

intelligence, machine learning systems, neural networks, or audio datasets.

7. Attribution

No attribution is required. Any voluntary credit must not imply endorsement by ProsperaSound LLC.

8. Termination

This Agreement is effective until terminated. It will automatically terminate if you fail to comply with any term. Upon termination, all use of the Sounds must cease.

9. Disclaimer of Warranties & Refunds

The Sounds are provided "as is" without warranty of any kind. Refund Policy: Due to the nature of

digital downloads, all sales are final. No refunds will be issued once the Sounds have been downloaded or

accessed.

10. Limitation of Liability

ProsperaSound LLC shall not be liable for any damages arising from the use or inability to use the

Sounds.

11. Governing Law

This Agreement shall be governed by the laws of the State of New Mexico, United States of America.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties.
